BOH Officeopsai LLC® — STANDARD TERMS & CONDITIONS
Effective Date: 01/01/2025
1.1 These Standard Terms & Conditions, together with the Service Confirmation (the “Confirmation Letter”), constitute the entire agreement (“Agreement”) between BOH LLC® (“Provider”) and the client identified in the Confirmation Letter (“Client”).
1.2 Colorado law governs this Agreement, without regard to its conflicts‑of‑law principles.
2.1 In the event of any conflict between these Terms & Conditions and the Confirmation Letter, the Confirmation Letter shall prevail.
2.2 Payment by check or cashier’s check requires up to thirty (30) days to clear.
3.1 Client shall pay all fees and expenses described in the Fee Schedule and incurred by Provider, its subsidiaries, affiliates, contractors, agents, employees, or licensors in connection with this engagement, including—but not limited to—costs of third‑party discovery, expert witnesses, and document reproduction.
3.2 Any deposit, retainer, or client overpayment will be credited against future services or the final invoice.
3.3 Providers’ invoices are due within thirty (30) days of invoice date, unless otherwise agreed in writing. Overdue amounts incur a late fee of ten percent (10%) per month, and Client shall reimburse Provider for all collection costs, including reasonable attorneys’ fees.
“Governing Law”
(“Without Prejudice – UCC 1-308”)
Reservation of Rights. All rights, remedies and defenses available to BOH Officeopsai LLC® under contract, statute or at law are expressly reserved. No performance, acceptance of payment, or provision of services by shall be deemed a waiver of any rights or remedies, whether under these Terms & Conditions, the Uniform Commercial Code (as adopted in Colorado), or any other applicable law.
“No performance rendered, payment made, or acceptance of performance by BOH Officeopsai LLC® shall constitute a waiver of any claim or right under these Terms & Conditions or under UCC 1-308 (C.R.S. § 4-1-308), andBOH Officeopsai LLC® expressly reserves all such rights and remedies.”
4.1 Unless otherwise arranged in writing, billing occurs monthly as services and expenses accrue.
4.2 If any portion of an account remains unpaid thirty (30) days after billing, Provider may, without waiving any rights, suspend or terminate all services immediately.
5.1 All cost estimates are for budgeting purposes only and are not binding price quotes unless expressly stated.
5.2 Any requests for additional or changed services will be documented in a written change order and billed at Provider’s prevailing rates.
6.1 Any dispute arising under this Agreement will first be submitted to non‑binding mediation, to be completed within ninety (90) days of the dispute’s notice.
6.2 If mediation fails, either party may pursue litigation in the appropriate Colorado court.
7.1 To the fullest extent permitted by law, Provider’s total aggregate liability under this Agreement shall not exceed the total fees paid by Client in the prior twelve (12) months.
7.2 In no event shall Provider or its agents, employees, or subcontractors be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits or data, even if advised of the possibility of such damages.
7.3 Client agrees to indemnify and hold harmless Provider, its officers, directors, employees, and agents from any claims, liabilities, losses, or expenses (including attorneys’ fees) arising from Client’s breach of this Agreement or from Client’s acts or omissions.
8.1 Provider may engage subcontractors or third‑party vendors to perform services. All such parties are bound by these Terms & Conditions, and Provider remains responsible for their performance.
8.2 Client hereby appoints Provider as its agent to coordinate and communicate with subcontractors.
9.1 Client schedules all service appointments. Provider will use commercially reasonable efforts to meet requested dates and times, including emergency dispatch within 2–4 hours for critical failures and 24–48 hours for non‑critical issues.
9.2 Provider has no liability for delays caused by factors beyond its control, including but not limited to labor disputes, supply shortages, or force majeure events.
10.1 A fifty percent (50%) deposit is required for orders exceeding $10,000; full payment is due upon acceptance for smaller orders.
10.2 Lead times for new products (case goods, workstations, seating) range from three (3) to five (5) weeks.
10.3 Return Policy: Items may be returned only if damaged or incorrectly shipped, and only with a valid invoice and purchase order number.
11.1 All designs, drawings, and models remain Provider’s property unless a written agreement states otherwise.
11.2 If Client requests changes after final approval, Client shall pay Provider at $150 per hour for additional design services.
11.3 Space‑planning services by Provider are required prior to order processing.
12.1 Provider and its subcontractors will maintain appropriate insurance, including workers’ compensation, general liability, and commercial automobile insurance, as required by Colorado law.
12.2 Licensed professionals (electricians, plumbers, HVAC technicians) will perform all regulated trade work in compliance with state and local licensing requirements.
13.1 All notices under this Agreement must be in writing and delivered to the parties’ addresses in the Confirmation Letter.
13.2 No amendment to this Agreement is effective unless in writing and signed by both parties.
14.1 If any provision is found unenforceable, the remainder shall remain in full force and effect.
14.2 No failure or delay in exercising any right under this Agreement constitutes a waiver of that right.
Applicable Law:
This Agreement is governed by the laws of Denver County and the State of Colorado, and by federal law where applicable.
Credit Card Payment Terms & Conditions
1) Scope and Acceptance
By providing a credit card, authorizing payment, or paying any Company invoice by card, the customer (“Client”) accepts these Terms for the invoice, any related contract, and any future card‑on‑file transactions.
2) Authorization to Charge
a) Client authorizes Company to charge the card for invoices, retainers, deposits, scheduled installments, and approved adjustments.
b) For payment plans, Client authorizes recurring charges on the due dates listed on the invoice or contract until the balance is paid.
c) Client represents it is the cardholder or an authorized user and will keep card details current.
3) Card Processing; Surcharges
a) Payments are processed through a PCI‑DSS compliant processor. Company does not store full card numbers.
b) If permitted by law, Company may assess a card processing fee up to the lesser of Company’s actual processing cost or the legal maximum in the payment jurisdiction. No surcharge applies to debit or prepaid cards where prohibited. Any fee will appear as a separate line item titled “Credit Card Processing Fee.”
c) ACH, check, or wire may be offered as no‑surcharge alternatives.
4) Pricing, Taxes, and Invoices
a) All prices are exclusive of taxes unless stated. Client is responsible for applicable taxes.
b) Estimates are not binding. Final charges reflect actual scope, time, materials, and agreed changes.
5) Strong No‑Refund Policy
a) All payments, retainers, deposits, and fees are non‑refundable.
b) If a refund is required by law, Company may, in its sole discretion, issue a credit toward future services instead of a cash refund, unless a cash refund is mandated.
c) Cancellations do not relieve Client of amounts already incurred or committed.
6) Chargebacks and Disputes
a) Client agrees to first notify Company in writing of any billing dispute within 5 business days of the charge and allow 10 business days for investigation and response.
b) Initiating a chargeback without first following 6(a), or after Company provides evidence of delivery or performance, constitutes a material breach.
c) If a chargeback occurs, Client remains responsible for the underlying amount plus all processor chargeback fees, retrieval fees, and reasonable collection costs, including attorneys’ fees.
7) Late, Failed, or Reversed Payments
a) Amounts not received when due accrue a late charge of 1.5% per month or the maximum allowed by law, whichever is less, until paid.
b) Returned, declined, or reversed payments may incur a $35 administrative fee or the maximum permitted by law.
c) Company may suspend work, withhold deliverables, and retain work product until all amounts are paid.
8) Card‑on‑File; Updates; Security
a) With Client consent, Company may maintain a tokenized card‑on‑file to process authorized payments under these Terms.
b) Client must promptly update expired or replaced cards.
c) Company uses reasonable safeguards but cannot guarantee absolute security. Client assumes the risk inherent in electronic payment systems.
9) Delivery, Acceptance, and Records
a) Digital delivery is deemed delivered when sent to the last email provided by Client. Physical delivery is FOB shipping point unless stated otherwise.
b) Time entries, task logs, or delivery receipts maintained by Company are presumed accurate absent clear error.
c) E‑signatures and electronic approvals are binding.
10) No Setoff; Application of Payments
Client may not withhold or set off amounts. Company may apply payments to the oldest outstanding charges, fees, or costs in its discretion.
11) Termination
Either party may terminate services as the contract allows. Termination does not affect accrued fees, card fees, chargeback liabilities, or Sections 5–14, which survive.
12) Confidentiality and Privacy
Each party will protect the other’s non‑public information. Company’s use of Client information is limited to performing services, processing payments, and legal compliance.
13) Compliance; Anti‑Fraud
Company may require identity verification for high‑risk or card‑not‑present transactions and may decline or delay any transaction suspected of fraud or misuse.
14) Governing Law; Venue; Dispute Resolution
a) These Terms are governed by Colorado law, without regard to conflict‑of‑laws rules.
b) Venue for any court action is exclusively in state or federal courts located in Denver County, Colorado, subject to 14(c).
c) Before filing in court, the parties will mediate in Denver County within 30 days of a written request. If unresolved, disputes will be resolved by binding arbitration under the Colorado Uniform Arbitration Act administered in Denver County. Each party bears its own costs and an equal share of tribunal fees, and the arbitrator may award fees to the prevailing party where permitted. Injunctive relief for misuse of IP or confidential information may be sought in court.
15) Liability Cap
To the maximum extent permitted by law, Company’s aggregate liability related to any invoice, contract, or card transaction is limited to the amounts paid by Client to Company for the specific service giving rise to the claim in the three months preceding the event, excluding card fees, taxes, and third‑party costs. No indirect, incidental, special, consequential, or punitive damages.
16) Severability; Entire Agreement; Changes
If any provision is unenforceable, the remainder remains in effect. These Terms supplement the signed contract and the invoice; in a conflict, the contract controls, then these Terms, then the invoice, unless the invoice expressly states otherwise. Company may update these Terms prospectively by posting or attaching the updated version to new invoices or contracts.
17) Notices
Notices must be in writing and sent to the addresses in the contract or the latest invoice. Email notice is effective on sending.
18) Effective Date
These Terms apply to invoices and contracts issued on or after the Effective Date below.
